What Happens to a Postnup if Your Spouse Personally Guarantees a Business Debt in Indonesia?

A postnuptial agreement can separate property between spouses in Indonesia, but it does not cancel a personal guarantee given to a business creditor. For the spouse who did not sign the guarantee, exposure depends on whether their assets are legally separate from those of the guarantor.

How Does a Business Debt Become the Spouse’s Personal Liability?

A company and the individuals behind it are generally separate legal persons. However, a bank, supplier, landlord, or other creditor may ask a business owner, shareholder, or director to personally guarantee the company’s obligations.

A personal guarantee creates a separate obligation. If the company fails to pay, the creditor may seek payment from the person who provided the guarantee, subject to the terms of that guarantee.

For example, an Indonesian spouse may own a company that obtains business financing. If that spouse also personally guarantees the debt and the company defaults, the creditor may seek payment from the spouse under the guarantee.

Can a Postnup Protect the Other Spouse’s Assets?

Indonesian law allows couples to enter into a postnuptial agreement during their marriage, rather than requiring a marriage agreement to be made before or when they marry.

This can affect what property is available when only one spouse has personally guaranteed a business debt. If an asset legally belongs separately to the spouse who did not provide the guarantee, its position is different from property belonging to the guarantor or property treated as joint marital property.

What if the Guarantee Came Before the Postnup?

A separation-of-property arrangement already in effect when the guarantee was given is different from a postnup made after creditor rights have arisen, because a later agreement cannot simply remove existing creditor rights.

Indonesian rules on marriage agreements protect the rights of third parties. Proper recording of the agreement is also important where it is intended to affect third parties.

A creditor may also be able to challenge a postnup in some circumstances, but that is separate from liability under the personal guarantee itself.

What if Both Spouses Signed the Guarantee?

If both spouses signed personal guarantees, each may have undertaken a direct obligation to the creditor. A postnup does not by itself cancel those obligations.

This is particularly important when one spouse is asked to sign documents connected with the other’s company. The signature may create a direct financial obligation rather than simply confirm the other spouse’s business borrowing.
